White-Label Partnership Agreement Template

1. Parties to the Agreement

2. Purpose

This Agreement outlines the framework for a white-label partnership, whereby Inboundly delivers digital solutions and services under the Partner’s brand, with full discretion and confidentiality.

3. Scope of Services

Inboundly will provide the following white-labeled services, among others, as agreed per project or engagement:

• Performance Marketing (SEO, PPC, Social Ads)
• Branding & Communication
• Lead Nurturing & Marketing Automation
• Digital Platform Strategy & Consulting
• Analytics Implementation & Insight Reporting

The Partner shall:

• Act as the primary point of contact with end clients.
• Manage client relationships, billing, and support.
• Ensure timely client feedback, inputs, and payments.

4. Branding, Ownership & Client Communication

• All deliverables will be produced under the Partner’s brand identity.
• Inboundly will remain invisible to the Partner’s clients, unless otherwise approved in writing.
• The Partner retains full ownership of its client relationships. Inboundly is responsible solely for execution and delivery.

5. Payment Terms

• Pricing Models: Fixed-fee, hourly, retainer-based, or performance-based—decided mutually per engagement.
• Billing Cycle: Payments must be made in advance for retainers, hourly blocks, or project milestones.
• Late Payments:
  • A 5% late fee applies for payments delayed beyond 7 days.
  • Services may be paused if invoices remain unpaid after 14 days.
• Refund & Cancellation:
  • No refunds once execution has begun.
  • A cancellation fee may apply if projects are called off prior to execution.

6. Confidentiality & Non-Disclosure

• Both parties agree to maintain the confidentiality of all client information, pricing models, internal processes, and strategies.
• Inboundly will never solicit or directly engage with the Partner’s clients.
• The Partner shall not disclose Inboundly’s involvement unless agreed upon in writing.

7. Service Delivery & Quality

• Timelines: All work will be delivered as per mutually agreed timelines.
• Revisions: Minor revisions are included. Significant scope changes will be quoted separately.
• KPIs: Performance will be tracked against predefined metrics such as leads, conversions, or engagement levels.

8. Liability & Indemnification

• Inboundly shall not be liable for indirect or consequential damages resulting from the use of the service.
• The Partner shall indemnify and hold Inboundly harmless from any claims, liabilities, or damages arising out of client disputes or misrepresentations.

9. Termination

• Either party may terminate this Agreement with a 30-day written notice.
• Inboundly reserves the right to terminate the agreement immediately in case of:
  • Breach of payment terms
  • Violation of confidentiality clauses
  • Unlawful or unethical use of deliverables

10. Governing Law

• This Agreement is governed by the laws of India.
• Any disputes shall fall under the jurisdiction of courts located in Rajkot, Gujarat, India, unless otherwise stated in a separate agreement.

11. Acceptance

Both parties acknowledge and agree to the above terms and conditions by signing this Agreement.
